Thriftful Stylist Terms of Service

Agreement Overview

This Stylist Terms of Service ("Agreement") is a legally binding contract between Thriftful, Inc. ("Thriftful," "we," "us," or "our") and you ("Stylist," "you," or "your"). By creating a stylist account, submitting a stylist application, or using the Thriftful platform to offer styling services, you agree to be bound by these terms.

PLEASE READ THESE TERMS CAREFULLY BEFORE USING THE PLATFORM.


1. Acceptance of Terms

1.1 Agreement to Terms

By:

  • Submitting a stylist application through the Thriftful platform
  • Creating a stylist account
  • Creating, listing, or selling bundles through Thriftful
  • Accepting client requests
  • Using any stylist features of the platform

You acknowledge that you have read, understood, and agree to be bound by this Agreement and our [Privacy Policy].

1.2 Eligibility

To become a Thriftful stylist, you must:

  • Be at least 18 years of age
  • Have the legal capacity to enter into binding contracts
  • Not be prohibited from using the platform under applicable law
  • Successfully complete our stylist application and approval process
  • Maintain good standing on the platform

1.3 Independent Contractor Status

You are an independent contractor, not an employee, agent, or partner of Thriftful. You:

  • Are solely responsible for your business operations, taxes, and legal compliance
  • Have no authority to bind Thriftful to any obligation
  • Are not entitled to employee benefits, insurance, or protections
  • Control the manner and means of performing your styling services

2. Stylist Application & Approval

2.1 Application Process

To become an approved stylist, you must:

  • Complete our multi-step application process
  • Provide accurate contact information and business details
  • Submit 3-6 portfolio photos demonstrating your styling expertise
  • Answer questions about your experience, availability, and specialties
  • Agree to these Stylist Terms of Service

2.2 Application Review

  • Thriftful reserves sole discretion to approve or reject any application
  • We may request additional information or clarification during review
  • Approval is not guaranteed and decisions are final
  • We are not obligated to provide reasons for rejection

2.3 Account Activation

Upon approval:

  • Your account will be granted stylist privileges
  • You may create and publish bundles
  • You may accept and fulfill client requests
  • You gain access to the Stylist Dashboard and Lookbook features

2.4 Verification

We may require identity verification, business documentation, or other information at any time to maintain platform integrity and comply with legal obligations.


3. Stylist Profile & Lookbook

3.1 Profile Information

You agree to:

  • Provide accurate, current, and complete profile information
  • Maintain and update your profile as needed
  • Use professional, appropriate images and content
  • Not misrepresent your experience, expertise, or capabilities

3.2 Lookbook & Portfolio

Your Lookbook profile may include:

  • Portfolio posts showcasing your styling work
  • Style specialties and aesthetic keywords
  • Bio and social media links
  • Website links

You represent and warrant that:

  • You own or have rights to all images you upload
  • Your portfolio accurately represents your work
  • Images do not violate any third-party rights or applicable laws
  • Content adheres to our Community Guidelines

3.3 Public Profile

Your stylist profile and Lookbook are publicly viewable. Clients may discover you through:

  • Browse and search features
  • Direct links to your profile (e.g., thriftful.app/s/yourname)
  • Bundle listings you create

4. Bundles & Listings

4.1 Bundle Creation

You may create bundle listings that include:

  • Title, description, and pricing
  • Cover image and additional photos
  • Timeline and process description
  • Style, aesthetic, color, and item keywords for matching
  • Optional custom questions for clients

4.2 Bundle Accuracy

You must:

  • Accurately describe what the bundle includes
  • Set realistic pricing that covers your costs and desired profit
  • Provide honest timeline estimates
  • Clearly state any limitations or exclusions
  • Not make false or misleading claims

4.3 Pricing

  • You set your own bundle prices
  • Prices must be in USD
  • Prices displayed to clients include the bundle cost; Thriftful platform fees are separate and disclosed to you
  • You may not artificially inflate prices to circumvent platform fees

4.4 Bundle Management

You may:

  • Edit bundle details at any time
  • Pause or unpublish bundles as needed
  • Delete bundles (subject to existing client requests)

You may not:

  • Create duplicate or spam listings
  • Use bundles to promote off-platform transactions
  • Include prohibited content (see Section 10)

5. Client Requests & Order Fulfillment

5.1 Request Acceptance

When you receive a bundle request:

  • You may accept or decline within a reasonable timeframe
  • By accepting, you commit to fulfill the order as described
  • You gain access to the client's complete Style Story profile, including:
    • Detailed measurements (height, weight, bust/chest, waist, hips, inseam)
    • Size ranges (up to 3 consecutive sizes per category)
    • Fit preferences and body type information
    • Style, aesthetic, color, and item keywords
    • Fashion goals and preferences
    • Custom question responses
    • Optional Pinterest board

5.2 Client Data Use

You may use client data only to:

  • Fulfill the specific bundle request
  • Communicate with the client through the Thriftful platform
  • Improve your styling services

You may not:

  • Share, sell, or distribute client data to third parties
  • Use client data for marketing without explicit consent
  • Contact clients outside the Thriftful platform without their permission
  • Retain client data after order completion beyond what is necessary for customer service

5.3 Sourcing & Curation

You are solely responsible for:

  • Finding and purchasing items for bundles
  • Ensuring items meet quality standards
  • Curating items that match client preferences and measurements
  • Covering all sourcing costs upfront

5.4 Quality Standards

All items in your bundles must:

  • Be clean, laundered, and ready to wear
  • Be free from damage, stains, or defects (unless clearly disclosed)
  • Match the description provided to the client
  • Meet the client's size and fit parameters
  • Align with the client's style preferences and fashion goals

Vintage and thrifted items should:

  • Be in good, wearable condition appropriate for their age
  • Have any vintage wear, patina, or imperfections clearly disclosed
  • Be accurately dated and described if vintage provenance is claimed

5.5 Order Timeline

You must:

  • Ship orders within the timeline you commit to when accepting the request
  • Update the order status in the Thriftful platform as you progress
  • Communicate proactively with clients if delays occur
  • Notify Thriftful and the client immediately if you cannot fulfill the order

6. Shipping & Delivery

6.1 Shipping Responsibility

You are fully responsible for:

  • All shipping costs and arrangements
  • Packaging materials and labor
  • Selecting appropriate shipping methods
  • Ensuring items are securely packaged to prevent damage

6.2 Shipping Requirements

You must:

  • Use trackable shipping methods for all orders
  • Provide tracking information to the client through the platform
  • Ship to the address provided by the client
  • Comply with all applicable shipping regulations and carrier requirements

6.3 Delivery Confirmation

  • Mark the order as "shipped" in the platform when shipped
  • Provide tracking information promptly
  • Confirm delivery once tracking shows the order as delivered
  • Address any delivery issues in coordination with the client and carrier

6.4 Lost or Damaged Shipments

You are responsible for:

  • Insurance on shipments, if desired
  • Resolving shipping issues with carriers
  • Working with clients to resolve delivery problems
  • Issuing refunds or replacements if items are lost or damaged in transit

7. Payments & Fees

7.1 Payment Processing

  • Thriftful processes all client payments through Stripe
  • You receive payment only after successful order completion and delivery
  • Clients pay the bundle price displayed on the platform

7.2 Platform Fees

Thriftful charges a service fee on each completed transaction:

  • Platform Fee: 15% of the bundle price
  • Fees cover payment processing, platform maintenance, customer support, and technology infrastructure
  • Fees are disclosed in your Stylist Dashboard and are subject to change with notice

7.3 Payout Schedule

  • Payouts are processed according to our standard payout schedule (disclosed in your Stylist Dashboard)
  • Payouts are typically made weekly after order completion confirmation
  • You must have a valid payment method on file (Stripe Connect account)

7.4 Payout Method

  • Payments are made via Stripe Connect
  • You must complete Stripe onboarding and maintain an active account
  • You are responsible for providing accurate banking information
  • Thriftful is not responsible for payout delays due to incorrect banking details or Stripe issues

7.5 Taxes

You are solely responsible for:

  • Reporting income from Thriftful sales
  • Paying all applicable federal, state, and local taxes
  • Maintaining tax records and receipts
  • Complying with sales tax obligations in your jurisdiction

Thriftful may provide tax documentation (e.g., 1099 forms) as required by law, but you are responsible for tax compliance.


8. Communication & Client Relations

8.1 Platform Communication

  • All client-stylist communication must occur through the Thriftful messaging system
  • You must respond to client inquiries within 5 business days
  • Communication must be professional, respectful, and helpful

8.2 Professional Conduct

You agree to:

  • Treat clients with respect and courtesy
  • Provide honest, accurate information
  • Honor your commitments and deadlines
  • Resolve issues in good faith

You may not:

  • Use abusive, harassing, or discriminatory language
  • Pressure clients to complete transactions off-platform
  • Misrepresent your capabilities or bundle contents
  • Engage in fraudulent or deceptive practices

8.3 Off-Platform Contact

You may not:

  • Request client contact information for off-platform communication
  • Direct clients to complete transactions outside Thriftful
  • Circumvent platform fees by arranging direct payment

Violations may result in immediate account termination and forfeiture of pending payouts.

8.4 Disputes

If a dispute arises with a client:

  • Attempt to resolve it professionally and in good faith
  • Notify Thriftful Support within 48 hours
  • Cooperate with Thriftful's dispute resolution process
  • Provide any requested documentation or evidence

9. Cancellations, Returns & Refunds

9.1 Order Cancellation by Stylist

If you must cancel an accepted order:

  • Notify the client and Thriftful immediately
  • Provide a valid reason for cancellation
  • Understand that repeated cancellations may result in account suspension or termination

If you cancel before sourcing/shipping:

  • Client receives a full refund
  • You are not paid for the order

9.2 Order Cancellation by Client

Clients may cancel requests:

  • Before acceptance: No penalty to you
  • After acceptance, before shipping: Client may request cancellation; you may agree or decline based on sourcing status
  • After shipping: Cancellation is not typically available; returns process applies

9.3 Returns

Clients may request returns if:

  • Items do not match the description
  • Items have undisclosed damage or defects
  • Sizing is significantly incorrect based on provided measurements

You must:

  • Accept returns for items that do not match your description
  • Provide return instructions and shipping address
  • Issue refunds promptly upon receiving returned items in original condition

9.4 Refund Policy

Full or partial refunds may be required if:

  • You fail to ship within the committed timeline
  • Items do not match the description
  • Items have undisclosed defects or damage
  • You cancel after client payment

Thriftful reserves the right to issue refunds from your payouts if you fail to fulfill orders or violate these terms.

9.5 Fit & Preference Refunds

Because bundles are custom-curated based on client-provided measurements and preferences:

  • You are not required to accept returns for fit issues if you followed the client's provided measurements
  • You are not required to accept returns based on client's change of mind or style preference
  • However, excellent customer service and willingness to work with clients is encouraged

10. Prohibited Conduct

You may not:

10.1 Prohibited Content

  • Upload illegal, obscene, or sexually explicit content
  • Use copyrighted images or content without permission
  • Impersonate others or misrepresent your identity
  • Include hate speech, harassment, or discriminatory content

10.2 Prohibited Business Practices

  • Engage in fraud, deception, or misrepresentation
  • Sell counterfeit, stolen, or illegal goods
  • Attempt to circumvent platform fees
  • Manipulate reviews, ratings, or platform algorithms
  • Create multiple accounts to evade bans or restrictions

10.3 Prohibited Technical Actions

  • Attempt to hack, disrupt, or damage the platform
  • Use bots, scripts, or automated tools to interact with the platform
  • Scrape or harvest user data
  • Reverse engineer or copy platform features

11. Intellectual Property

11.1 Your Content

You retain ownership of content you upload (photos, descriptions, portfolio images).

By uploading content, you grant Thriftful:

  • A worldwide, non-exclusive, royalty-free license to use, display, reproduce, and distribute your content
  • The right to use your content for marketing, promotional, and platform improvement purposes
  • The right to include your content in platform features, emails, social media, and advertisements

We will provide attribution where reasonable and practical.

11.2 Thriftful Content

All platform features, designs, logos, trademarks, and proprietary technology are owned by Thriftful. You may not:

  • Copy, modify, or create derivative works from our platform
  • Use Thriftful branding without permission
  • Claim ownership of platform features or technology

11.3 DMCA / Copyright Claims

If you believe your intellectual property has been infringed, contact us at hello@thriftful.app with:

  • Description of the copyrighted work
  • Location of the infringing content on our platform
  • Your contact information and signature
  • A statement of good faith belief and accuracy under penalty of perjury

12. Liability & Indemnification

12.1 Limitation of Liability

TO THE MAXIMUM EXTENT PERMITTED BY LAW:

Thriftful is not liable for:

  • Lost profits, revenue, or business opportunities
  • Indirect, incidental, special, or consequential damages
  • Client disputes, refunds, or chargebacks
  • Shipping delays, lost packages, or carrier issues
  • Platform downtime, bugs, or technical issues

OUR TOTAL LIABILITY TO YOU SHALL NOT EXCEED THE TOTAL FEES YOU EARNED THROUGH THE PLATFORM IN THE 12 MONTHS PRIOR TO THE CLAIM.

12.2 Indemnification

You agree to indemnify, defend, and hold harmless Thriftful, its affiliates, officers, directors, employees, and agents from:

  • Claims arising from your use of the platform
  • Your bundles, items, or services
  • Your violation of these Terms
  • Your violation of any law or third-party rights
  • Client disputes or harm caused by your actions

You will reimburse Thriftful for all losses, damages, settlements, and expenses (including legal fees) arising from such claims.

12.3 Disclaimer of Warranties

THE PLATFORM IS PROVIDED "AS IS" AND "AS AVAILABLE" WITHOUT WARRANTIES OF ANY KIND, EXPRESS OR IMPLIED.

We do not warrant that:

  • The platform will be error-free or uninterrupted
  • Defects will be corrected
  • The platform is free from viruses or harmful components
  • Results from using the platform will meet your expectations

13. Account Suspension & Termination

13.1 Termination by You

You may terminate this Agreement at any time by:

Upon termination:

  • You must fulfill all pending orders
  • Outstanding payouts will be processed according to our standard schedule
  • Your profile and listings will be removed from the platform

13.2 Termination by Thriftful

We may suspend or terminate your account immediately if:

  • You violate these Terms or our policies
  • You engage in fraudulent, illegal, or abusive behavior
  • You repeatedly cancel orders or fail to fulfill commitments
  • You receive excessive complaints or negative feedback
  • We are required to do so by law or legal process

We may also terminate your account:

  • With 30 days' written notice for any reason
  • If you are inactive for an extended period

13.3 Effect of Termination

Upon termination:

  • Your access to stylist features is immediately revoked
  • Pending orders must be fulfilled or refunded
  • Outstanding payouts will be processed (minus any owed amounts or platform fees)
  • You must cease using Thriftful branding and intellectual property
  • Provisions that by their nature should survive (liability, indemnification, disputes) will continue

13.4 Appeal Process

If your account is suspended or terminated, you may appeal by contacting support@thriftful.app within 30 days with:

  • Your account information
  • Explanation of the situation
  • Any supporting evidence or documentation

We will review appeals in good faith but are not obligated to reinstate accounts.


14. General Provisions

14.1 Changes to Terms

We may update these Terms at any time. Changes will be:

  • Posted on our website with a new "Last Updated" date
  • Notified to you via email or in-app notification
  • Effective 30 days after posting (or immediately for legal/security changes)

Continued use of the platform after changes constitutes acceptance of the new Terms.

14.2 Governing Law

This Agreement is governed by the laws of California, United States, without regard to conflict of law principles.

14.3 Dispute Resolution

Informal Resolution: Before filing a claim, you agree to contact us at hello@thriftful.app to attempt informal resolution.

Arbitration: Any disputes will be resolved through binding arbitration in accordance with the American Arbitration Association rules, conducted in San Francisco, California. You waive the right to participate in class actions or jury trials.

Exceptions: Either party may seek injunctive relief in court for intellectual property disputes or violations of these Terms.

14.4 Severability

If any provision of these Terms is found invalid or unenforceable, the remaining provisions will remain in full effect.

14.5 No Waiver

Our failure to enforce any provision does not constitute a waiver of that provision or our right to enforce it in the future.

14.6 Entire Agreement

These Terms, along with our Privacy Policy and Community Guidelines, constitute the entire agreement between you and Thriftful regarding your use of the platform.

14.7 Assignment

You may not assign or transfer this Agreement. We may assign our rights and obligations without restriction.

14.8 Force Majeure

Neither party is liable for delays or failures due to circumstances beyond their reasonable control (natural disasters, war, pandemics, government actions, etc.).

Acknowledgement

BY CREATING A STYLIST ACCOUNT, SUBMITTING A STYLIST APPLICATION, OR USING STYLIST FEATURES ON THE THRIFTFUL PLATFORM, YOU ACKNOWLEDGE THAT YOU HAVE READ, UNDERSTOOD, AND AGREE TO BE BOUND BY THESE STYLIST TERMS OF SERVICE.

You further acknowledge that:

  • You are an independent contractor, not an employee of Thriftful
  • You are responsible for all sourcing, shipping, and fulfillment costs
  • You must use client data only for order fulfillment and not share it with third parties
  • You agree to maintain professional conduct and meet quality standards
  • You understand the payment terms, fees, and payout schedule
  • You accept liability for your bundles and services
  • You agree to the dispute resolution and arbitration provisions
